{"id":218024,"date":"2010-01-22T10:45:16","date_gmt":"2010-01-22T15:45:16","guid":{"rendered":"http:\/\/www.footnoted.org\/?p=4487"},"modified":"2010-01-22T10:45:16","modified_gmt":"2010-01-22T15:45:16","slug":"foster-wheeler%e2%80%99s-sweet-swiss-assignments%e2%80%a6","status":"publish","type":"post","link":"https:\/\/mereja.media\/index\/218024","title":{"rendered":"Foster Wheeler\u2019s Sweet Swiss Assignments\u2026"},"content":{"rendered":"<p><a href=\"http:\/\/www.footnoted.org\/wp-content\/uploads\/2010\/01\/Switzerland1.jpeg\"><img loading=\"lazy\" decoding=\"async\" class=\"alignleft size-full wp-image-4486\" src=\"http:\/\/www.footnoted.org\/wp-content\/uploads\/2010\/01\/Switzerland1.jpeg\" alt=\"\" width=\"124\" height=\"102\" \/><\/a>As foreign work assignments go, Switzerland surely must be on a lot of short lists.<\/p>\n<p>For two executives at <a href=\"http:\/\/www.fwc.com\/\">Foster Wheeler AG<\/a> (FWLT), a global engineering and construction contracting company, those assignments come with some very nice benefits&#8230; especially if they tough it out for a few years.<\/p>\n<p>The company announced last month that it was moving its operating headquarters to Geneva. \u00a0The agreements are between a Foster Wheeler subsidiary and Franco Baseotto, the executive VP\/CFO\/Treasurer, and with Beth Sexton, the executive VP, Human Resources. According to <a href=\"http:\/\/www.sec.gov\/Archives\/edgar\/data\/1130385\/000114420410002615\/v171718_8k.htm\">this filing<\/a>, amendments to the employment agreements are being made because the relocation to Switzerland would allow the executives to terminate their employment &#8220;for Good Reason.&#8221;<\/p>\n<p>That may be technically accurate, but it&#8217;s hard to believe that highly-ranked executives are going to jump ship just because the boss asks them to work in Europe for a few years. \u00a0In this case, the company said that to avoid any doubt, the maximum length of the assignments would be five years.<\/p>\n<p>Foreign assignments generally come with nice benefits: \u00a0moving and housing allowances, regular business-class travel back and forth to the States, tax gross-ups, tuition payments for children&#8217;s schools, etc., and Baseotto&#8217;s and Sexton&#8217;s agreements are no exception.<\/p>\n<p>But it&#8217;s the &#8220;stay bonuses&#8221; and future stock awards that seem more unusual. \u00a0In <a href=\"http:\/\/www.sec.gov\/Archives\/edgar\/data\/1130385\/000114420410002615\/0001144204-10-002615-index.htm\">Baseotto&#8217;s case<\/a>, he &#8220;will receive a stay bonus equal to 175% of his annual base salary upon the earlier of entering into a New Addendum to the Baseotto Agreement or June 30, 2011, provided he remains in active employment until such date.&#8221; \u00a0According to the <a href=\"http:\/\/www.sec.gov\/Archives\/edgar\/data\/1130385\/000095012309044411\/c90354def14a.htm\">proxy<\/a> filed last September, Baseotto&#8217;s base salary was $550,000. \u00a0That means that if he can tough it out in Switzerland for about a year and a half, he&#8217;ll receive another $962,500. \u00a0The agreement also says that the stay bonus &#8220;will be increased if Mr. Baseotto remains in active employment beyond June 30, 2011,&#8230;&#8221; provided he gives the required advanced notice before he resigns. \u00a0[<a href=\"http:\/\/www.sec.gov\/Archives\/edgar\/data\/1130385\/000114420410002615\/v171718_ex10-2.htm\">Sexton&#8217;s agreement<\/a> has a similar provision to give her 175% of her base salary, which was $388,360 as of Jan. 1, 2009. \u00a0Thus, if she stays with the company until June 30, 2011, she&#8217;ll get another $679,630.]<\/p>\n<p>As if that wasn&#8217;t enough of a sweetener to take the hardship assignment of moving to Switzerland, there&#8217;s also the restricted stock: $2.5 million for Baseotto that vests over three years.<\/p>\n<p>If the competition among Foster Wheeler&#8217;s executives for assignments in Switzerland wasn&#8217;t tough enough already, it probably is now.<\/p>\n<p><em>Image Source: \u00a0Historic Hotels of Europe<\/em><\/p>\n<p><a href='http:\/\/www.gai-insightsedge.com\/\/'><img style='border: 0px; width: 580px;' src='http:\/\/footnoted.org\/wp-content\/uploads\/footnoted580x74animated.gif'><\/a><\/p>\n<p><a href=\"http:\/\/feedads.g.doubleclick.net\/~a\/pLgn43rAvYTt4eWgO22pWJyuKaE\/0\/da\"><img decoding=\"async\" src=\"http:\/\/feedads.g.doubleclick.net\/~a\/pLgn43rAvYTt4eWgO22pWJyuKaE\/0\/di\" border=\"0\" ismap=\"true\"><\/img><\/a><br \/>\n<a href=\"http:\/\/feedads.g.doubleclick.net\/~a\/pLgn43rAvYTt4eWgO22pWJyuKaE\/1\/da\"><img decoding=\"async\" src=\"http:\/\/feedads.g.doubleclick.net\/~a\/pLgn43rAvYTt4eWgO22pWJyuKaE\/1\/di\" border=\"0\" ismap=\"true\"><\/img><\/a><\/p>\n<div class=\"feedflare\">\n<a href=\"http:\/\/feeds.feedburner.com\/~ff\/Footnotedorg?a=uHdYkWUfMQc:gApS0vPAkCo:yIl2AUoC8zA\"><img decoding=\"async\" src=\"http:\/\/feeds.feedburner.com\/~ff\/Footnotedorg?d=yIl2AUoC8zA\" border=\"0\"><\/img><\/a> <a href=\"http:\/\/feeds.feedburner.com\/~ff\/Footnotedorg?a=uHdYkWUfMQc:gApS0vPAkCo:dnMXMwOfBR0\"><img decoding=\"async\" src=\"http:\/\/feeds.feedburner.com\/~ff\/Footnotedorg?d=dnMXMwOfBR0\" border=\"0\"><\/img><\/a> <a href=\"http:\/\/feeds.feedburner.com\/~ff\/Footnotedorg?a=uHdYkWUfMQc:gApS0vPAkCo:F7zBnMyn0Lo\"><img decoding=\"async\" src=\"http:\/\/feeds.feedburner.com\/~ff\/Footnotedorg?i=uHdYkWUfMQc:gApS0vPAkCo:F7zBnMyn0Lo\" border=\"0\"><\/img><\/a> <a href=\"http:\/\/feeds.feedburner.com\/~ff\/Footnotedorg?a=uHdYkWUfMQc:gApS0vPAkCo:V_sGLiPBpWU\"><img decoding=\"async\" src=\"http:\/\/feeds.feedburner.com\/~ff\/Footnotedorg?i=uHdYkWUfMQc:gApS0vPAkCo:V_sGLiPBpWU\" border=\"0\"><\/img><\/a> <a href=\"http:\/\/feeds.feedburner.com\/~ff\/Footnotedorg?a=uHdYkWUfMQc:gApS0vPAkCo:qj6IDK7rITs\"><img decoding=\"async\" src=\"http:\/\/feeds.feedburner.com\/~ff\/Footnotedorg?d=qj6IDK7rITs\" border=\"0\"><\/img><\/a>\n<\/div>\n<p><img loading=\"lazy\" decoding=\"async\" src=\"http:\/\/feeds.feedburner.com\/~r\/Footnotedorg\/~4\/uHdYkWUfMQc\" height=\"1\" width=\"1\"\/><\/p>\n","protected":false},"excerpt":{"rendered":"<p>As foreign work assignments go, Switzerland surely must be on a lot of short lists.
