{"id":218025,"date":"2010-01-21T11:01:23","date_gmt":"2010-01-21T16:01:23","guid":{"rendered":"http:\/\/www.footnoted.org\/?p=4483"},"modified":"2010-01-21T11:01:23","modified_gmt":"2010-01-21T16:01:23","slug":"the-problem-with-boards-of-directors%e2%80%a6","status":"publish","type":"post","link":"https:\/\/mereja.media\/index\/218025","title":{"rendered":"The problem with Boards of Directors\u2026"},"content":{"rendered":"<p><a href=\"http:\/\/www.footnoted.org\/wp-content\/uploads\/2010\/01\/book.jpg\"><img loading=\"lazy\" decoding=\"async\" class=\"alignleft size-full wp-image-4484\" title=\"money for nothing\" src=\"http:\/\/www.footnoted.org\/wp-content\/uploads\/2010\/01\/book.jpg\" alt=\"\" width=\"107\" height=\"156\" \/><\/a>On Tuesday night, I ventured out of my SEC filings hidey-hole to attend a party to mark the publication of &#8220;<a href=\"http:\/\/moneyfornothingthebook.com\/\">Money for Nothing<\/a>&#8221; a new book by John Gillespie and David Zweig. The book focuses on a problem we&#8217;ve written about all too often here at footnoted: boards of directors who seem to take up time and space and provide little value to shareholders, even as they collect hefty salaries for what can charitably be called a part-time job.<\/p>\n<p>The two authors, both graduates of Harvard Business School, would be among the last you&#8217;d expect to take on the dysfunctional nature of boards of directors. Indeed, at the party, Zweig joked around that both he and Gillespie, a former investment banker at Lehman Brothers, Morgan Stanley and Bear Stearns, were considered traitors by many of their Harvard B-School classmates.<\/p>\n<p>Footnoted regulars will be familiar with some of the examples mentioned in the book, including Chesapeake Energy&#8217;s (CHK) infamous map collection, which won the dubious honor of <a href=\"http:\/\/www.footnoted.org\/perk-city\/and-the-worst-footnote-of-2009-was\/\">worst footnote of the year<\/a>, Washington Mutual&#8217;s many missteps, and even smaller questionable items, like the decision by Crox to <a href=\"http:\/\/www.footnoted.org\/buried-treasure\/the-family-business\/crocs-the-craftsmen-truck-series\/\">sponsor a NASCAR race car<\/a> that happened to be driven by the son of one of its directors. There&#8217;s also a healthy dose of Countrywide in there too.<\/p>\n<p>We&#8217;re still in the process of reading the book, so we can&#8217;t give a comprehensive review. And in the interest of full disclosure, we should note that the authors have nice things to say about footnoted. Over the weekend, the Times ran a more\u00a0<a href=\"http:\/\/www.nytimes.com\/2010\/01\/17\/business\/17shelf.html?scp=1&amp;sq=taking%20away%20directors%20rubber%20stamp&amp;st=cse\">comprehensive review<\/a> which ends with a funny story about a jailhouse interview that the authors had with former Tyco CEO Dennis Kozlowski this past summer and his relationship with Tyco&#8217;s board of directors when he was running the show.<\/p>\n<p>The book&#8217;s website also has a funny game called &#8220;Pay that CEO&#8221; and a <a href=\"http:\/\/www.youtube.com\/watch?v=65x-opNkj04\">video<\/a> that&#8217;s also worth watching.
