{"id":490055,"date":"2010-03-30T14:55:52","date_gmt":"2010-03-30T18:55:52","guid":{"rendered":"http:\/\/www.footnoted.org\/?p=4665"},"modified":"2010-03-30T14:55:52","modified_gmt":"2010-03-30T18:55:52","slug":"sprint%e2%80%99s-board-evokes-french-history%e2%80%a6","status":"publish","type":"post","link":"https:\/\/mereja.media\/index\/490055","title":{"rendered":"Sprint\u2019s Board Evokes French History\u2026"},"content":{"rendered":"<p><a href=\"http:\/\/www.footnoted.org\/wp-content\/uploads\/2010\/03\/Marie-Antoinette.jpg\"><img loading=\"lazy\" decoding=\"async\" class=\"alignleft size-thumbnail wp-image-4666\" title=\"Marie Antoinette\" src=\"http:\/\/www.footnoted.org\/wp-content\/uploads\/2010\/03\/Marie-Antoinette-150x150.jpg\" alt=\"Marie Antoinette\" width=\"150\" height=\"150\" \/><\/a>According to one version of history, Queen Marie Antoinette, after being told that the hungry masses had no bread, replied, \u201cThen let them eat brioche.\u201d  Supposedly, according to that legend, Marie wasn\u2019t being cruel \u2013 just clueless.<\/p>\n<p>We don\u2019t know whether the story is really true, just like we\u2019ll never really understand the expenditures that <a href=\"http:\/\/www.sprint.com\/index.html\">Sprint Nextel Corporation\u2019s<\/a> (S) Compensation Committee continues to make.<\/p>\n<p>In the <a href=\"http:\/\/www.sec.gov\/Archives\/edgar\/data\/101830\/000119312510069752\/ddef14a.htm\">proxy<\/a> that Sprint filed yesterday,\u00a0the company reported that it spent $454,281 for CFO Robert Brust to make personal trips on the corporate jet and chartered jets.  (That\u2019s actually down from the <a href=\"http:\/\/sec.gov\/Archives\/edgar\/data\/101830\/000119312509066925\/ddef14a.htm\">$601,338<\/a> Sprint spent on Brust\u2019s personal trips in 2008, which Michelle wrote about last year in this <a href=\"http:\/\/dealbook.blogs.nytimes.com\/2009\/04\/02\/big-perk-for-sprints-pen-pinching-finance-chief\/\">article<\/a> for DealBook.  But it still ranks as one of the highest amounts we\u2019ve seen for a company to spend on an executive\u2019s personal travel.)<\/p>\n<p>Spending that kind of money, of course, is quite a contrast to the public display Brust made when he snatched up hundreds of hotel pens and joked that it was his strategy to cut office supply costs.  At the time, Bloomberg <a href=\"http:\/\/www.bloomberg.com\/apps\/news?pid=20601109&amp;sid=a4gF0Sl0nK5A&amp;refer=home\">reported<\/a> that Brust used the pens to illustrate a serious point, saying \u201cThe message is, we really have to be serious about this, because we are in an economic event that nobody understands.\u201d<\/p>\n<p>Brust came to Sprint in <a href=\"http:\/\/newsreleases.sprint.com\/phoenix.zhtml?c=127149&amp;p=irol-newsArticle_newsroom&amp;ID=1138444\">May 2008<\/a> after he had retired as CFO from the Eastman Kodak (EK). When he signed on, Sprint gave him an <a href=\"http:\/\/sec.gov\/Archives\/edgar\/data\/101830\/000119312508098764\/dex101.htm\">employment agreement<\/a> that paid Brust a million dollar salary, a $1.65 million cash sign-on bonus, hundreds of thousands of sign-on RSUs and options, participation in the company\u2019s short- and long-term incentive plans, and \u201cup to 35 round-trip personal domestic flights on either, at the Company\u2019s discretion, Company aircraft or charter aircraft.\u201d  According to p. 39 of Sprint\u2019s <a href=\"http:\/\/www.sec.gov\/Archives\/edgar\/data\/101830\/000119312509066925\/ddef14a.htm\">2009 proxy<\/a>, allowing Brust personal use of the corporate jet \u201c\u2026was necessary in order to attract Mr. Brust, who had a very specific skill set that we desired, to work for us following his retirement from Eastman Kodak Company, where he gained valuable experience working with a challenged company.\u201d<\/p>\n<p>On December 23, 2009, Sprint filed amendments (see <a href=\"http:\/\/www.sec.gov\/Archives\/edgar\/data\/101830\/000010183009000020\/k20091223brust.txt\">here<\/a> and <a href=\"http:\/\/www.sec.gov\/Archives\/edgar\/data\/101830\/000010183009000020\/kex10120091223.txt\">here<\/a>) to Brust\u2019s employment agreement, which would otherwise have expired on May 1, 2010.  These provided for \u2013 among other things \u2013 a \u201cSpecial Bonus\u201d of $600,000 if Brust stayed with Sprint for another year (to be paid at $50,000 per month starting May 1, 2010 and ending April 1, 2011).  The additional year, the filing explained, would give Sprint time to find a new CFO and Brust time to shift responsibilities to the new person.  It also gave him \u201ca long term incentive award target opportunity of $3 million\u201d which will be half options and half RSUs, subject to some conditions.  Those <a href=\"http:\/\/biz.yahoo.com\/e\/100303\/s8-k.html\">awards will vest<\/a> on May 1, 2012.<\/p>\n<p>Strangely, although these Amendments don\u2019t address the issue of usage of the corporate jet, p. 37 of this year\u2019s proxy states:<\/p>\n<blockquote>\n<p>In consideration of these additional benefits, Mr. Brust agreed to an extension of his noncompetition restricted period to 24 months, a mutual 60 days\u2019 notice of termination provision, no further use of corporate aircraft use for non-business travel after May 1, 2010, and the limitation of his post-termination severance period to six months on the condition that his sign-on equity would still vest on May 1, 2011.<\/p>\n<\/blockquote>\n<p>And just as strange is the fact that the company took away a perk that cost the company as much as $600,000 but turned around and gave him cash for about the same amount.<\/p>\n<p>Whether Sprint\u2019s bet on the <a href=\"http:\/\/www.businessweek.com\/technology\/content\/mar2010\/tc20100329_721158.htm?campaign_id=yhoo\">4G network<\/a> and Brust\u2019s talents as CFO will lift the value of the company&#8217;s stock still remains to be seen.
