    When three SSDs just won’t do, Sony’s VAIO Z is the fix. We’ve had a chance to briefly see one in person, but still found ourselves oddly entranced by the promotional video embedded for your pleasure after the break. It shows a rendered Z floating about in space, flaunting its various assets (backlit keyboard, switchable graphics, side-talkin’ power button) before ending with a branding slogan that’s so powerful you just can’t help but reach for that credit card: The Executive Decision. Yeah, we’re getting chills here, too — but that’s probably because someone left the door to the trailer open again.

  • FINANCIAL TIMES: Queen Kraft closes in for decisive move on King Cadbury

    As the end game for Cadbury nears, Irene Rosenfeld, Kraft’s chief executive, may soon be able to call checkmate.

    Following a week of twists in the takeover battle, with Nestlé ruling itself out as a potential counter bidder and Warren Buffett, Kraft’s largest investor, urging the food group not to overpay, Ms Rosenfeld appears to be one move ahead on the chessboard.

    “Clearly, the stakes have moved in Irene Rosenfeld’s favour,” says Simon Marshall-Lockyer, analyst at Jefferies International. “Nestlé was always the kingmaker in a possible joint bid with Hershey.”

    The Swiss food group has said it will not make or even participate in a counter bid for Cadbury after acquiring Kraft’s US pizza business for $3.7bn. With Nestlé out of the game, Hershey will have a tougher time coming up with the cash for a counter offer.

    Although the US confectionery group is still considering a counter bid, analysts believe the chances of one materialising are slim.

    Martin Deboo, analyst at Investec, gives a 10 per cent probability to a counter bid from Hershey. He says the maker of Reese’s peanut butter cups and Hershey’s kisses cannot borrow enough to take on Cadbury alone and would struggle to get the help of Ferrero, the privately held Italian confectionery group, before the UK Takeover Panel-imposed deadline for competing bids. That is likely to be in the final week of January, while Cadbury investors have until February 2 to accept the Kraft bid.

    Meanwhile, analysts say that Mr Buffett’s warnings are something of a red herring. He said that he would vote against the issue of 370m new Kraft shares to fund the deal. However, analysts point out that the credit markets have improved since early September, when Kraft went public with an unsolicited offer for Cadbury, making it easier for Kraft to raise additional debt should it need extra cash.

    “The risk circumstances have changed dramatically,” argues Mr Marshall-Lockyer. “Warren Buffett is telling Irene Rosenfeld to go back to the banks and tell these people to put up some more risk.”

    Kraft says it has the funds to buy Cadbury. Its bid initially comprised 40 per cent in cash and 60 per cent in shares.

    Last week, under pressure from Cadbury investors wary of owning too much Kraft stock (the US group’s shares have sharply underperformed the Dow Jones Industrial Average over the past five years), Kraft sweetened the cash portion from 300p to 360p. But with Kraft’s offer now valuing Cadbury shares at about 768p, the cash element is still less than half of the total.

    Analysts say Kraft could afford to lift the overall value of its bid to above 800p per Cadbury share and increase the cash portion to around 60 per cent to win over investors.

    Cadbury investors rejected Kraft’s first offer, with 1.5 per cent tendering their shares ahead of an initial deadline on January 5, which Kraft extended.

    Although investors have said publicly they want Kraft to come back with an offer of between 850p and 900p, analysts believe institutional investors, as well as Cadbury’s board, will consider offers above 800p.

    Cadbury’s shares, which yesterday closed up 0.5p at 777p, had been trading close to 800p until Berkshire Hathaway, Mr Buffett’s investment vehicle, issued its warning on Tuesday.

    The shares fell as expectations of a knock-out offer from Kraft faded. Meanwhile, Kraft’s shares, which closed at $27.43 in New York on Monday, rose to trade at $28.81 in New York yesterday afternoon.

    Kraft has not ruled out a higher offer, but it must do so by a Takeover Panel deadline on January 19. The US food group is expected to wait for two financial updates from Cadbury, due next week, before making any changes to its offer.

    On Tuesday, Cadbury will provide estimates of its 2009 sales and underlying profits for the 11 months ending in November, as well as December trading figures. It will also discuss its outlook for 2010. On Thursday, following the extension of a panel deadline, it will release more details on its 2009 performance.

    Last week, Cadbury denied its board had approached Hershey to encourage a counter offer, claiming: “We are not looking for a white knight.”

    Although Todd Stitzer, Cadbury’s chief executive, has suggested he would prefer a takeover by Hershey because of the two companies’ cultural similarities, Roger Carr, Cadbury’s chairman, has said the success of any offer would be determined on value.

    Without a higher offer, Cadbury investors are likely to also reject Kraft’s sweetened bid, leaving the confectioner independent – at least until another suitor knocks on its door. But Ms Rosenfeld shows no signs of abandoning the game.

    What lies ahead for Cadbury

    A successful takeover by Kraft has become more likely after Nestlé’s withdrawal as a potential counter-bidder, because the Swiss group can no longer give Hershey financial help for a competing bid.

    With Kraft’s bid the only offer on the table, the US food group has now only to come up with the right price.

    Analysts say Kraft needs to come up with more than 800p a share and possibly more cash to get the support of Cadbury’s board. Although it has not ruled out a higher offer, and has more cash available after selling its US pizza business to Nestlé last week, it hasn’t yet delivered a knock-out bid.

    However, Kraft’s position has been complicated by the intervention of Warren Buffett, who owns a 9.4 per cent stake in the company. He has said he may vote against the issue of 370m shares to fund the deal

    Cadbury stays independent

    Cadbury still has a chance of remaining independent because Kraft may not be willing to pay the price investors want. Some shareholders say that they are holding out for a bid of more than 900p a share.

    Cadbury’s defence strategy to date has been to stress its value as a stand-alone company.

    It has been supported in its task by trade unions and Midlands MPs, who have voiced opposition to the Kraft offer.

    Although it has not publicly sought a white knight – and has claimed it is not looking for one – chief executive Todd Stitzer has pointed out the cultural similarities between Hershey and Cadbury, suggesting that he would like to see a counter-offer emerge.

    Hershey buys Cadbury

    Hershey has sound reasons for wanting to buy Cadbury. The two companies operate in different parts of the world, with Hershey strong in the US and Cadbury strong in Europe and some emerging markets.

    However, it faces formidable obstacles. It has less firepower to buy Cadbury than Kraft does because it is a much smaller company, with a market capitalisation of some $8.31bn compared with Kraft’s $42.6bn.

    It is also run by a charitable trust that would be heavily diluted if a large share issue were required for a deal and could lose control of the company.

    Analysts say that Hershey would have to take on “prohibitive” levels of debt and leverage up to 5.4 times earnings before interest, tax, depreciation and amortisation, or to look for equity investors to buy Cadbury

    Hershey/Ferrero buys Cadbury

    Hershey could team up with privately held Ferrero to buy Cadbury.

    Although Ferrero is the market leader in Germany, Spain, Italy and France, it has only a tiny market share in the UK and would like to pick up some of Cadbury’s brands. In the past, Cadbury has also expressed interest in buying Ferrero if it could convince the family run company to sell.

    The Italian confectioner and maker of Ferrero Rocher chocolates, Kinder Eggs and Nutella chocolate spread has annual net sales of €6bn, but has never been involved in a major M&A transaction.

    Although it has held talks with Hershey about a Cadbury bid, and owner Michele Ferrero is believed to be Italy’s richest man with a personal wealth of €9.5bn, he is publicity shy and appears reluctant to get involved in a messy takeover battle.

  • The 26 Steps: People Power Rises in Hong Kong (and lessons for Canadians re prorogation of Parliament)

    I’ve read and am reflecting on my friend Daisann’s insightful report, “The 26 Steps: People Power Rises in Hong Kong“. Although the issues are widely different, I think there are lessons and strategies applicable to Canadians’ anit-prorogation rally across Canada and in Calgary.

    Here is a brief excerpt from “The 26 Steps“,

    “These students marched around and around the Legislative Council building for hours. It was the most moving part of this multi-dimensional demonstration. Slowly and deliberately, like monks in Vipassana meditation, they made their way forward to the beat of a loud drum. Every 26 steps they halted in unison, and fell prostrate to the ground in silence.

    Why 26 steps? Because the 67 billion dollar railway link to China’s high-speed railway network that the Hong Kong government wants to, um, railroad through the legislature would extend exactly 26 kilometers. That’s 2.57 billion taxpayer dollars per kilometer. At a time when the wealth gap between rich and poor in Hong Kong is one of the greatest in the world, the government wants to build a project that would cost the equivalent of taking 10,000 from the pockets of each Hong Kong citizen.”

    […] And they know this: when democracy fails […] you have to take matters into your own hands.

    P.S. It is ironical that even the farcically elected chief executive of Hong Kong dare NOT to shutdown the legislature (nor such power exist for him to do so).

    It is funny in Canada, our Prime Minister is such a chess master that he felt he could simply outmaneuver Canadians (twice), shutdown democracy, and we won’t care nor do anything to challenge him. For the sake of Canada, I hope Prime Minister Harper is wrong.

  • 3D, or Not 3D? That Was the Question at CES

    CES should have issued attendees 3D glasses along with their name badges when they registered for this year’s gathering in Las Vegas. Nearly everywhere you went on the main show floor, people were sporting polarized shades or queuing up to try on the full wraparound 3D goggles that HDTV makers had laid out to experience their new 3D-enabled sets.

    The real question for the industry, though, is whether consumers will be queuing up at Best Buy to get 3DTVs when sets start hitting retail floors later this year from such major manufacturers as Sony, Panasonic, LG and Samsung. And the answer is anything but clear.

    There is certainly reason to believe they will. According to research conducted by the Consumer Electronics Association, along with the Entertainment Technology Center at USC, there is strong consumer interest in 3D technology (GigaOM Pro, subscription req’d.). According to their findings, 25 percent of consumers plan to buy a 3DTV set in the next three years. That would represent 28 million sets, including 4.3 million that CEA estimates will be sold just in 2010.

    Consumers are also willing to pay a premium of 15-20 percent for 3D, according to the study. “The big question is, do consumers think 3D is real?” said ETC’s executive director, David Wertheimer. “And the answer is, yes they do, and they’re willing to pay for it.”

    Others in the TV ecosystem are less convinced, however. “I think over-the-top video is really the big story that’s getting overlooked here,” Harold Geller, managing director of Ad-iD and senior VP of the Association of American Advertising Agencies, said during a panel discussion on media monetization strategies. “There are always early adopters who will jump on whatever is the cool new thing, which in this case is 3D. But if you look at all the devices here [at CES] that have app stores, that have Internet connectivity, these are the common technologies. It’s all about discovery, about finding new content and bringing it into your living room. Over-the-top video is how you’re going to reach the mass consumer, not 3D.”

    That view was seconded by Nic Covey, director of cross-platform insights for The Nielsen Company. “In terms of where the consumer is, over the top is where the action is going to be in 2010,” he said. “That’s what they’re looking for.”

    For all the attention paid to 3D at this year’s CES, in fact, there was a certain surreal quality to the discussion. While consumers may be intrigued by 3DTV, there’s no question that at least some of the apparent buzz around the technology is being juiced by hardware makers eager for a sock-o new feature to push to consumers.

    Panasonic’s chief technology officer Eisuke Tsuyuzaki, in an unguarded moment, admitted as much. “It’s a challenging market,”  he said on a panel titled “3DTV: Hope or Hype.” “We need something to kick us out of this. To me the thing that’s going to get us there is 3D.”

    Panasonic, in fact, is going so far as to largely bankroll DirecTV’s foray into 3D broadcasting,  as the “exclusive presenting partner” of the three planned 3D channels, to try to make sure consumers have something to watch on their new 3D plasma TVs.

    Sony is also bankrolling 3D content creation, partnering with Discovery Communications and IMAX on a new 3D channel and signing on as the main sponsor of one planned by ESPN.

    Yet even ESPN seems uncertain about the channel’s prospects. “We need to be able to get 2D and 3D [versions of live sporting events] produced in the same truck,” ESPN’s Chief Technology Officer Chuck Pagano said. “If we have to do side-by-side production, with two crews and two trucks, it could end up being a very long putt for us in terms of making this work economically.”

    It’s not unheard of for hardware makers to underwrite the cost of content creation early in a new format’s rollout. Sony is still subsidizing the costs of Blu-ray Disc replication for some studios. But it can’t do it forever. If 3D programming can’t stand on its own at  some point, CES attendees can toss aside all the 3D glasses they’ve accumulated this week.

  • Happy Moments at CES [Ces2010]

    Through the photonic assault, I saw a patch of green in a booth. I walked up and touched it. The grass, it was real, and cool and fresh for the moment. I could not have smiled more broadly. Happy Moments…

    …at CES are rare for attendees, in my experience. It’s hard work and a monumental commercial achievement at the expense of sanity, holiday vacations and sleep. But these moments of joy do exist.


    Dell showed a 5 inch Android tablet. It’s too small to be more useful than a smartphone, and can’t be pocketed as easily, but for some reason, I found it sexy. And that one of the most mainstream makers of PCs made something so cool, well, I was impressed. I’m not sure I would buy one, but it made me happy.


    I miss my dogs. They’re being watched in Japan for the month by Lisa’s parents, and I’m going back to pick them up in a week. They’re black and brown, and these mascots also happen to be black and brown. I guess they reminded me of my pets without me realizing it, and I decided to give them a hug. Cozy.


    I made fun of 3D HDTV a lot. Then I tried it on a really good set with fast refresh rates, by Panasonic. I loved it and to me the difference between 2D and 3D is as profound as the difference between black and white and color TV. I got excited at the thought of playing games and watching movies with lots of explosions and lush scenery (Planet Earth, HD!) with a third dimension.


    Another great moment of happiness came when I felt we were hitting our stride, as a team, covering the show. No trailer, no booth, no place to set up and write in peace. But since we were all here, together, I was able to ask everyone how they were doing without typing it. It’s nice to communicate without a keyboard, once in awhile.

    We bought pizza for ourselves and since the lunches were cold, got some for our pals in the press room.

    Seeing the Gizmodo junior team learn so much so fast has been inspiring. I got especially happy watching Don and Kyle nail their shorts and Rosa, well, Rosa found the best story of the show. And the veterans are just so good, they’re always surprising me with astounding finds and speed of insightful writing.

    I bumped into a lot of friends here, not only those I work at Gizmodo with. Chris Null, Sean Captain, Leander Kahney, Charlie White, Dylan Tweeney, Joe Brown, Steve Leckart, Danny Dumas, Ryan Block, Veronica Belmont and Pete Rojas, naming a few. And this is actually the first time I’ve worked side by side with Joel Johnson, who returned to Giz only last month.

    In a few hours, this show will be largely done for us. Everyone who worked on the blog will have a nice dinner together. Then I’ll go home. That will be my most happy moment.

    *We noticed these people were having a good time at CES, too. If you look closely, most of them have to do with people interacting with each other, not the machinery.

    Taken from the top of the Lupu bridge in Shanghai, the second longest arch bridge in the world.
    The viewing platform is a lift to the deck and then a hike up a couple of hundred steps on one of the arches. Ticket was 38RMB (ie. not much) If you’re ever in the ‘hai and get a clear day this is a must-do.
    The viewing platform at the top is rectangular and the photos were taken from the four corners so as to minimise the bridge getting in the way of the shots. Managed to cock that up though and wasn’t able to completely remove it from the final pano.

    It was a pretty dull day and I didn’t have tripod so f8 was as small an aperture as I could get while still having decent shutter speed at 200iso. Even so a couple of the shots are not completely sharp and a brighter day and/or a stabilised lens could get much better results I think.
    I couldn’t have used a tripod anyway as I had to lean out at the four corners of the viewing platform to minimise the bridge.
    Used manual settings to keep the exposures consistent and left the lens manually focussed at infinity.

    Hugin was very good at stitching the shots and blending the exposures smoothly.
    There were a couple of places where I didn’t have enough overlap for the program to auto stitch, but luckily I’d left no gaps and was able to stitch those spots manually.
    Tweaked the stitching a little and had to reset a lot of points to ‘vertical’ so that Hugin didn’t produce a city full of leaning towers.
    Straightened the horizon using Hugin’s built in tool.

    It was very difficult to follow the horizon accurately and so the full (450MB tiff!!) pano waved up and down.
    The biggest straight crop I could get still lost nearly half of each frame and even then I had to clone in a small sliver of river where I’d lifted the camera too high, and a strip of sky in the middle where I dropped the camera down to include the foreground.
    Cloned out dust spots visible in the sky where I had a dirty sensor.
    Changed the colour balance a little (camera settings are dull, but get the most detail).
    Used the unsharp mask with large radius and zero threshold to tweak the local contrast and clear a lot of the haze.
    Selected the blazing white bridge in the centre and toned down it’s brightness and contrast so it was less noticeable.
    Scaled the image down for the web, and did a final bit of sharpening.
    Voila.

  • A ‘remote chance’ of snow in South Florida

    Snow in South Florida? Could it really happen? Probably not, but there is a slight chance parts of Palm Beach County could see “frozen precipitation” Saturday, the National Weather Service said.

    “There’s a very remote chance,” said Brad Diehl, a forecaster.

    But even if all the sub-freezing temperatures and expected precipitation intersected somehow, it would hardly look fluffy and white — and might not even reach the ground, Diehl said.

    The last time it snowed in South Florida was Jan. 19, 1977.

    BTW for anyone who rides the bus like I do, going to wait for the bus at 6:30 am in cold weather absolutely sucks!!!

    FCC chairman and general ass-kicker Julius Genachowski is siding with his commissioner Mignon Clyburn this week, noting that Verizon’s response to the Fed over its $350 “advanced device” early termination fee didn’t really satisfy everyone’s curiosity. He’s not ready to talk about the FCC’s next move in the case — we’re guessing another lengthy open letter is in order — but he assured media on hand that “the bureau is looking into” the situation. In the meantime, just don’t get tired of that Droid too fast, alright?

    Since we can’t drool over sets without release dates forever, our attention at VIZIO’s CES event turned to flat-panels we actually expect to hit shelves in 2010.
