  • Report: Ford becomes top-selling brand in Europe

    Ford has been making some real progress here in North America, with sales up 37 percent in the first quarter. That’s good news to be sure, and new reports indicate that Blue Oval may be experiencing as much success across The Pond. The Detroit Free Press reports that Ford is now the number-one selling brand in the ultra-competitive Europe market after March sales in the top 19 Euro countries outpaced the industry with a 11.5 percent sales gain. Ford’s sales boost during March boosted the company’s overall market share to 10.4 percent, up .4 percent versus the year ago period.

    The big reason for Ford’s sales dominance in Europe is the new Fiesta. The Fiesta accounted for 68,000 of the company’s 192,500 sales for the month, up 28.6 percent versus last March. The Fiesta appears to be picking up sales momentum in Europe, even after finishing 2009 as the second highest-selling vehicle in Europe behind the Volkswagen Golf. The Fiesta, which was launched late in 2008 in Europe, arrives in U.S. dealerships this summer.

  • GM and Geely will fight hard for limelight in Beijing

    At the 2010 Beijing Motor Show next week, two automakers will fight really hard to steal the limelight – General Motors and a young domestic Chinese player – Zhejiang Geely Holding Group Co. (which recently purchased Volvo from FoMoCo).

    Both companies will put far more on the show floor than other automakers. For example, Geely has plans to display 39 models while GM has plans to show 28 models. They will also show more new models than any other automakers at the show.

    Geely says it will show eleven new vehicles on the stage in Beijing, meanwhile, GM has announced that it will show six new models to the Chinese audience for the first time. GM’s lineup will consist of the Chevrolet Volt, Cadillac Converj Concept, Cadillac XTS Concept, Chevrolet Aveo RS Concept, the Chevy New Sail and the new Chevy Spark.

    Both companies have already held numerous events in Beijing prior to the auto show next week.

    Ford of Europe announced that it was the No.1 automaker in Europe for the month of March with a sales volume of 192,500. Total sales volume saw a 16.1 per cent increase versus March 2009, and was Ford’s tenth consecutive month-on-month increase in sales. In terms of first-quarter sales, Ford remains Europe’s No.2 best-seller year-to-date.

    Market share was at a twelve-year high of 10.4 per cent and the company’s best share in its main 19 European markets since August 1998.

    “Attaining the No.1 position in the European market for March and being No.2 year-to-date – despite the continuing aggressive discounting we have seen from some competitors – is a great testament to the hard work of the Ford team and especially our dealers across Europe who have done an outstanding job in supporting and satisfying their customers,” said Ingvar Sviggum, Vice President, Marketing, Sales and Service, Ford of Europe.

    Ford Fiesta sales were the strongest in the lineup at 68,800, the highest for any Ford model on record in a single month in Europe.

    “Fiesta continues to be an outstanding performer for us with 140,400 sold in Europe during the first three months of the year, and close to 70,000 sold in March alone,” said Roelant de Waard, Vice President, Sales, Ford of Europe. “Globally, we’ve now sold over 750,000 Fiestas since the latest generation model was launched almost 18 months ago.”

    March Highlights

    Ford Market Performance:

    * Ford No.1 best-selling brand in Europe.
    * Market leader in the UK, Denmark, Hungary, Ireland, the Netherlands and Turkey. Also passenger car market leader for the month in Spain.
    * Increased share in 10 of Ford’s main 19 European markets.
    * In Britain, Ford strengthened its market lead for the month with 72,700 new registrations, up by 10,300 units or 16.4 per cent on March 2009 – the highest March registrations of any market.
    * Spain’s March volume was up by 86 per cent versus the same month last year or 6,300 units to 13,600. Ford’s market share there increased by 1.5 ppts to 9.8 per cent, marking the highest share gain within the five largest markets in March.
    * Ford was the leading import brand in the Czech Republic and France. In the Czech Republic, Ford sold 2,000 vehicles in March, up by 26 per cent, and posted a 10.8 per cent market share, 0.5 ppts higher versus March 2009 – the highest March registrations and share there since 1993.
    * In France, Ford increased volume to 16,700, up by more than 3,200 units – 24 per cent higher than prior year. Share was at 5.9 per cent, up by 0.3 ppts – the strongest March share and registrations results there since 1999.
    * Ford was also No.1 imported brand in Italy, where share was at 11.6 per cent, up 1.4 ppts on March 2009. Sales volume there soared to 33,400, up by 9,300 units or 39 per cent, achieving the best March registrations since 1993.
    * In The Netherlands, Ford’s March registrations of 5,300 were 35 per cent over 2009, resulting in the highest March volume there since 2001. Share was at 10.3 per cent, up by 0.8 ppts, the best March share since 1996.
    * Highest share gains were delivered in Denmark (up 3.4 ppts; market share at 12.4 per cent, the highest share since March 1998), and Hungary (up 2.1 ppts; share at 15.8 per cent; the best March share since 1993).

    Model Performance:

    * Fiesta (68,800), Focus (40,200), and Transit (16,600) were Ford of Europe’s three top-selling vehicles (19 main European markets).
    * Fiesta sales at 68,800 were the highest for any Ford model on record in a single month in Europe, making the Fiesta Europe’s No.1 best-selling car overall in March, an achievement which external sources will confirm later this month.
    * Fiesta and Focus occupy the No.1 and No.2 position respectively in the UK. Fiesta was also the best-selling foreign vehicle for the month in Italy.
    * Only 18 months after its debut, more than 750,000 customers have purchased the new Fiesta around the world, as Ford continues to launch this global car in the U.S. and other key Asian Pacific markets in 2010.
    * Ka continues its success: 15,400 units sold in March, up by 3,200 or more than 26 per cent – the best March for Ka since 2002, and leading its segment in Spain.
    * Best ever monthly volume for Kuga, which totaled 9,100 registrations in March, up by 3,300 units on the same month 2009.
    * C-MAX and S-MAX were the best-selling foreign vehicles in their segment in France.
    * Retail sales accounted for 70 per cent of new Kuga, 70 per cent of Fiesta, 70 per cent of Fusion and 68 per cent of Ka sales in March 2010.

    First Quarter Performance:

    * Ford No.2 best-selling brand in Europe.
    * Market leader in the UK, Denmark, Hungary, Ireland and Turkey.
    * Ford’s share increased in 7 of its main 19 European markets.
    * Britain’s year-to-date sales volume increased by 12,100 to 110,100, up by 12.4 per cent on the first quarter 2009.
    * No.1 imported brand in France, with registrations at 40,100, up by 5,500 or more than 15.9 per cent on 2009 – the best March year-to-date volume since 1999.
    * Italy’s share in the first three months of 2010 was at 10.6 per cent, up by 0.7 ppts on 2009, the highest share gain within Ford’s five largest markets and the highest quarterly share ever for Ford in Italy, whilst first quarter registrations there were at 77,900 – up by 19,300 units or 33 per cent higher on the first three months 2009.
    * Highest ever first quarter share in the Czech Republic at 9.0 per cent, also leading import brand in the first three months of 2010.
    * Scandinavian markets continue to perform well in the first quarter of 2010. Sweden had registrations of 4,400, up by 1,000 units, or an increase of 28.7 per cent, the best first quarter volume since 2007.
    * The highest share gains of all 19 markets in the first quarter of 2010 were in Denmark (+0.6 ppts at 10.8 per cent share, the best first quarter share result since 1997), Italy (+0.7 ppts to 10.6 per cent, and Spain (+0.5 ppts to 9.2 per cent).

    Model Performance:

    * The three best-selling vehicles year-to-date 2010 were the new Fiesta (140,400), Focus (79,900) and Ka (31,600).
    * In the first quarter of 2010, new Fiesta sales were up 29,700 on 2009, the best first quarter sales and share for this model since 1996. Fiesta also remained best-selling foreign vehicle in Italy and France and was leading its segment in Spain year-to-date 2010.
    * 31,600 new Ford Ka vehicles have been delivered to Ford customers so far this year, up 8,300 units versus the first three months of 2009. Share and sales volume were the best since 2002.
    * Ford segment-leading in the UK with Fiesta, Focus, Mondeo and Galaxy in the first quarter.
    * C-MAX and S-MAX were the top-selling imported products in their segment in France.
    * Kuga was leading its segment in the first three months of 2010 in Italy, while Ka gained the No.1 segment position in Spain during the first three months of 2010.
    * Fiesta remained No.1 best-selling car in the UK year-to-date, ahead of the Focus in No.2 position, while Transit was the best-selling commercial vehicle in the first quarter of 2010.

  • Polícia usa roupa de Coelho da Páscoa para realizar operações nas ruas


    Uma coisa interessante que acontece em outros países como os EUA é que uma autoridade não precisa estar vestida a caráter para impor respeito sobre a população. Imagino o que aconteceria se pessoas representando a autoridade na cidade usassem fantasias bizarras para fazer seu trabalho, como uma roupa de Coelho da Páscoa.

    Foi o que aconteceu em Glendale, Califórnia, onde em certo dia um homem se vestiu de coelho marrom e começou a andar fora da faixa de pedestres. Interessante é que os motoristas pareceram não se importar com o louco fantasiado no meio da rua.

    O homem que quis pagar esse mico foi o policial Tom Broadway, que participou de uma operação de conscientização aos motoristas sobre segurança no volante. Cerca de 24 motoristas foram advertidos pelo Coelho da Páscoa que não levaram a sério o negócio e não deram atenção à chamada do orelhudo. Um motorista diz que ficou muito confuso porque o coelho pulou na frente do seu carro.

    O tenente Gary Montecuollo diz que o objetivo dessa ação era lembrar da segurança dos pedestres nas ruas: “Nós não estamos aqui para criar infrações. Francamente, nós ficaríamos felizes se todos tivessem parado. A idéia foi a de gerar conhecimento da segurança dos pedestres”.

    Eu não sei dizer se esse é um problema que todos os alunos correm o risco de passar, ou se o carro é muito pequeno para pessoas “pé de chumbo” que ainda não tem noção do que faz. Enfim, é para isso que servem as auto escolas, para ensinar. Só que alguns micos podem acontecer às vezes.

    Uma aluna não muito habilidosa teve o azar de capotar um Fiat 500 em sua segunda aula. Ao menos sabemos que habilidade para dublê ela tem. A aluna se chama Krisztina Jaksa, e perdeu o controle do Fiat 500 em sua segunda aula enquanto tentava fazer uma curva onde o carro inexplicavelmente travou as rodas. no desespero, a garota de 24 anos confundiu os pedais e pisou no acelerador ao invés dos freios, e resultou no que aparece na foto acima.

    Depois do susto, ninguém se feriu, nem Krisztina nem seu instrutor, Glen Berley, que sairam do 500 capotado com apenas alguns arranhões. Não se sabe muita coisa sobre a aluna, mas parece que ela irá retornar as aulas, já que havia se matriculado há poucos dias.

  • The Consequences of Entrepreneurial Finance: A Regression Discontinuity Analysis

    Executive Summary:

    What difference do angel investors make for the success and growth of new ventures? William R. Kerr and Josh Lerner of HBS and Antoinette Schoar of MIT provide fresh evidence to address this crucial question in entrepreneurial finance, quantifying the positive impact that angel investors make to the companies they fund. Angel investors as research subjects have received much less attention than venture capitalists, even though some estimates suggest that these investors are as significant a force for high-potential start-up investments as venture capitalists, and are even more significant as investors elsewhere. This study demonstrates the importance of angel investments to the success and survival of entrepreneurial firms. It also offers an empirical foothold for analyzing many other important questions in entrepreneurial finance. Key concepts include:

    • Angel-funded firms are significantly more likely to survive at least four years (or until 2010) and to raise additional financing outside the angel group.
    • Angel-funded firms are also more likely to show improved venture performance and growth as measured through growth in Web site traffic and Web site rankings. The improvement gains typically range between 30 and 50 percent.
    • Investment success is highly predicated by the interest level of angels during the entrepreneur’s initial presentation and by the angels’ subsequent due diligence.
    • Access to capital per se may not be the most important value-added that angel groups bring. Some of the “softer” features, such as angels’ mentoring or business contacts, may help new ventures the most.

    Abstract

    This paper documents the role of angel funding for the growth, survival, and access to follow-on funding of high-growth start-up firms. We use a regression discontinuity approach to control for unobserved heterogeneity between firms that obtain funding and those that do not. This technique exploits that a small change in the collective interest levels of the angels can lead to a discrete change in the probability of funding for otherwise comparable ventures. We first show that angel funding is positively correlated with higher survival, additional fundraising outside the angel group, and faster growth measured through growth in web site traffic. The improvements typically range between 30% and 50%. When using the regression discontinuity approach, we still find a strong, positive effect of angel funding on the survival and growth of ventures, but not on access to additional financing. Overall, the results suggest that the bundle of inputs that angel investors provide have a large and significant impact on the success and survival of start-up ventures.

In conjunction with the director and faculty co-director, this position facilitates the college’s interactions with schools and community organizations, with the goal of linking the research and teaching interests of Smith faculty and students to the needs, goals and opportunities of schools and communities.

    DUTIES and RESPONSIBILITIES
    Assistant Director of Outreach: Serves as the front-line source of information and logistical support for schools and community agencies seeking to access educational resources on the Smith College campus. Coordinates the implementation of campus outreach programs: Urban Education Initiative; Summer Science and Engineering Program; Summer Institutes for Educators; STEP UP; tutoring programs at local partner schools; and, additional programs to be developed.     Community Partnerships Coordinator: Serves as a support to Smith faculty and undergraduates seeking to develop and implement CBL courses and CBPR projects. Coordinates ongoing meetings between Smith College faculty, staff and undergraduates with school and community partners; provides logistical support; ongoing training and support for undergraduates; and, assists with the assessment of and reporting on college/community courses/projects.

    MINIMUM QUALIFICATIONS:
    Education/Experience: Bachelor’s Degree and three years of relevant coordination experience in a higher education setting preferred.

    Skills: Highly motivated; have a strong commitment to liberal arts education for women and outreach/college/community partnerships as means of fostering diverse and enriching learning opportunities; excellent writing and speaking skills; knowledge of MS Office; and the ability to work effectively as a member of a high functioning/flexible team, as well as with all levels of college departments and partner organizations.   • Chrysler e a Nasa compartilharão tecnologia

    Com o objetivo de compartilhar e desenvolver novas tecnologias, a Nasa (Administração Nacional do Espaço e da Aeronáutica) e a companhia de automóveis Chrysler, firmaram uma parceria com duração de três anos, de acordo com um comunicado emitido pela fabricante de automóveis.

    Dessa forma, a companhia poderá se beneficiar de toda a tecnologia empregada pela Nasa em seus foguetes e em seus demais sofisticados equipamentos. Já a Chrysler contribuirá com a Nasa fornecendo detalhes técnicos no desenvolvimento e construção de seus carros, principalmente das áreas de engenharia, robótica, sistema de baterias e radares.

    De acordo com a Chrysler, essa não é a primeira vez que ambas tem um relação comercial, onde ela teria construído os foguetes de impulsão da nave espacial Mercury, que teve destaque ao colocar pela primeira vez um piloto americano em orbita no planeta Terra, no longínquo ano de 1961.

    Segundo as palavras de Scott Kunseman, vice-presidente do departamento de engenharia da Chrysler: “É uma ótima oportunidade para compartilhar conhecimentos e dados em áreas onde tanto a Chrysler como a NASA têm interesse”.

    T&J Towing suing Michigan student for $750,000 – Click above to watch the video

    Where does reporting the facts end and libel begin? That’s what a court in Michigan will probably be deciding when it takes on the case of T&J Towing vs. Justin Kurtz. According to WoodTV.com, Back in February, Kurtz began a Facebook page called Kalamazoo (Michigan) Residents Against T&J Towing for the purpose of letting people tell their stories about encounters with T&J. Seems no one has anything good to say about T&J’s towing practices, and the company wants all that bad press to stop. Somehow they think that will happen by suing Kurtz, a Western Michigan University student, for $750,000.

    In the video available after the jump, a legal professor weighs in on the suit and questions how T&J expects to win its case when Kurtz hasn’t lied about the company or even written the stories.   • Storing Hydrogen with Crab Shells and Chicken Feathers

    Scientists and researchers have spent years trying to simulate Mother Nature in creating hydrogen or storing hydrogen more efficiently. Artificial photosynthesis using viruses or nano leaf structures are recent areas of study for creating hydrogen fuel.

    But, just as important as creating hydrogen is also storing the element for later use by fuel cell cars and H2ICE vehicles. Recently researchers have been studying both the structure of crab shells and chicken feathers in order to store hydrogen more efficiently.

    Researchers at Fudan University in China, “… has demonstrated that crab shell has a well aligned porous structure at the microscopic level. Exploiting this unique structure, they have generated porous carbon nanofibre arrays by combining the hard crab shell template with an established soft templating method.”

    Other porous shellfish are also being considered for templates. On the non-seafood end of the food chain, chicken feathers are also being used to store hydrogen. Scientists at the University of Delaware in Newark have discovered that the naturally occurring protein called keratin forms a hollow tube structure.

    According to the article, “To strengthen the keratin components, they are heated in order to induce the forming of crosslinks that also makes the material more porous, thereby giving it a larger surface area. This carbonized chicken feather fiber material will supposedly add a mere $200 on top of the price of a car for hydrogen storage, whereas the same 20-gallon tank would cost $5.5 million when carbon nanotubes are used and $30,000 for metal hydrides. Current prototype of the storage can keep enough fuel in a 75-gallon tank for the car to go 300 miles.”

    So, whether you prefer crabs, chickens, leaves or a nasty little virus, nanotechnology keeps finding solutions to complex hydrogen production and storage methods. One day these miniature breakthroughs will be of large magnitude in bringing forth a sustainable hydrogen economy.

  • Polícia espanhola descobre falso caminhão de rally com 800Kg de cocaína


    Quando você acha que já viu de tudo na vida, sempre aparece uma coisa pior, lembre-se disso para sempre. Um fato curioso que aconteceu na semana passada foi que a polícia espanhola apreendeu mais de 800Kg de cocaína escondidos em um falso caminhão usado para Rally Dakar, como mostra na foto acima. Importante: O caminhão da foto não é o caminhão apreendido.

    A valiosa carga foi avaliada em mais de 30 milhões de libras e foi encontrada na última sexta-feira no porto espanhol de Bilbao, de onde o caminhão desembarcou de navio, vindo da Argentina. Junto com a cocaína foram apreendidos 15.000 comprimidos de ecstasy, 4.5 Kg de haxixe, duas armas e 47.000 euros em dinheiro. A polícia espanhola fez um anúncio oficial do caso:

    “O veículo estava totalmente transformado para se adaptar a sua suposta participação no evento como caminhão de suporte, com logos de publicidade do evento pintados na lateral. Os responsáveis pelo tráfico internacional de drogas conseguiram fornecer um veículo com todo o material logístico e técnico necessário, incluindo o uniforme oficial da competição“.

    Perhaps Chanos’ most famous trade of all time is his shorting of Enron before the company collapsed. That is what we focus on today.

    Business Insider: Let’s talk Enron. It’s known as your biggest trade. I heard that early in the 1990s, around ’93 or so, is when you first started to look into the company.

    Jim Chanos: We had looked at it a few times because it was a rapid acquirer of companies but never saw anything well before our involvement that made us pull the trigger. It wasn’t until the 2000 time frame that we really got intrigued by this thing.

    BI: Was there any catalyst in the 2000 time frame?

    JC: Sure. A catalyst for our involvement was simply a phone call I got from a friend in Dallas who ran a hedge fund who asked if I had seen Jonathan Weil of the Texas Wall Street Journal’s Heard On The Street column if I had heard the accounting of the energy merchant banks. And I had not seen it.

    So he faxed it to me – email was still not ubiquitous at that point – and it was a really interesting column about how the energy merchant banks had lobbied the SEC successfully for getting mark-to-model and mark-to-market accounting for their long term investing in energy derivatives. To take the present value of all the future profits that were written into the derivatives were sold as opposed to adjusting it pro-rata over the life of the contract. And they were celebrating.

    The article if I can recall went on to say that there were a number of academics and accountants who were worried about this practice. That anytime you could front-load profits you’d really suspect that company of corporate abuse. We had experience with this in a number of areas in the first subprime fiasco in the mid-90s and then way way back going back to the annuity issuers – Baldwin United and others – back in the early-80s. They were selling insurance policies and cooking up all their future assumed income up front.

    BI: Just to step in here for a second, when you refer to the subprime crisis in the 90s, are you referring to the late 1990s with second-tier mortgages?

    JC: It was the time of the money store, so I’m going to say this was 1996 to ’98 as I recall.

    BI: Kyle Bass mentioned this stuff to me around the same time.

    JC: Yes. That was the Spanish Civil War to the subprime World War II that hit 2006 and 2007.

    So immediately we got a little interested because over and over we’ve seen at the hands of unscrupulous management that kind of ability to in effect create instant profits by doing what were ultimately bad business deals, you know, was just too lucrative to give up. So we basically started analyzing Enron right then and there, which was the October-November 2000 time-frame. We pulled the 1999 10-K and 10-Qs and immediately there was red flags all over the place. There was the odd disclosure about the offshore entities that were set to do business with Enron.

    BI: Like JLM?

    JC: Yeah like with the Raptors and some of the others that where a senior executive of Enron was also the managing partner of the entities.

    BI: A huge conflict of interest.

    JC: Yes. There are other odd things that didn’t get as much subsequent press. For example: we saw a violation of the matching policy under GAAP, which is that in the merchant banking operations, they would sell assets  for a gain and it would be above the line as merchant banking income. But when they sold something at a reasonable loss they moved it into discontinued operations and then when they sold it they put a loss on sale of discontinued operations. So, as opposed to booking both their profits AND their losses, they were putting that below the line so the analyst was disregarding that.

    BI: Nice.

    JC: Yes! So that was another thing that caught our eye. The next thing that caught our eye was even with what looked to be some pretty aggressive accounting, we calculated the company’s pre-tax return on capital including their derivatives book to be somewhere a little north of 6% but below 7%. And based on what Enron bonds were trading at and the equity risk premium, we realize this company wasn’t earning its cost of capital.

    So it was a giant leveraged hedge fund as my partner Doug Mellon said at the time that was earning 6% a year if you would, on a leveraged balance sheet and you were gonna pay six to ten times book for it. It made no sense.

    Then finally, there were the more interesting secondary issues like the insider selling through 2000. A lot of executive departures in 2000. So all these things for us were enough for us to start initiating a position in November of 2000.

    BI: More red flags came up?

    JC: Yes and then the more work we did and the more disclosure that started coming out, the more it became apparent that…

    BI: Time was up?

    JC: Yes. Well, we actually never thought it was a fraud. The “A-Ha!” moment for me that I suddenly knew that something was not in the grey area but the black area was when Skilling resigned. That’s when I knew.

    BI: I see.

    JC: When Skilling resigned abruptly at that point I knew that something was very very wrong that we couldn’t see. And what we couldn’t see of course was the gua ranted payments that they had made to the offshore entities should they sell them assets were suddenly loss-making.  So in order to get these toxic assets off their books, they agreed to issue Enron shares as a “make-good” to the offshore entities. And they didn’t disclose that.

    That was the hidden troll, in terms of an equity analyst.

    BI: What about the Skilling analyst call in 2000, 2001?

    JC: That was in 2001 with the analyst who asked him ‘Why no balance sheet? You’re a financial institution!’ and that was just another sort of qualitative red flag; this is a management team under a little bit of stress.

    BI: Could you just give as briefly as possible, a description of mark-to-model accounting?

    JC: Yes, there’s nothing wrong with mark-to-market accounting if there’s a liquid market in instruments. The problem really for Enron, and then as we found out later for the banking industry in the latest financial crisis, was really mark-to-model accounting. Mark-to-market for lots of derivatives is really, for the vast majority of them, looks towards something that’s liquidly traded, say something like a Treasury bond or IBM stock. And if it’s an option on IBM stock, or say it;s a simple mortgage-backed bond that trades off of Treasuries, it’s fairly easy to get a reasonable set of assumptions as  to what your derivative  might be worth by looking at the price of the “underlying” as they say.

    But for Enron, and as we found out in some of the CDOs later in the current financial crisis, mark-to-model became much more problematic because if Enron has contracted with Intel to provide electricity to some Intel plant over a 15-year period based on certain weather factors or whatever….I mean there were so many moving parts that no one could simply point to an underlying and say ‘Well, a reasonable person would say this is the range of this security. There were 4 or 5 or 6 variables in some of these contracts, some with  huge volatility in inputs.

    BI: Similar to, say, weather derivatives?

    JC: Yes. What is it worth? I don’t know. Can an auditor come in and disprove you? Doubtful.

    BI: Right.

    JC: So where was the incentive? The incentive of course was to ere on the optimistic side because that was in instant income and therefore instant bonus.

    BI: So you think it was motivated by profits for the upper echelon of [Enron] management?

    JC: Oh absolutely. It was an agency. They were gaming the shareholders.
